CVS Shelfie Giveaway Official Rules

1. NO PURCHASE NECESSARY TO ENTER OR WIN. Giveaway begins at 10:00:00 AM EDT on June 9, 2025 and ends at 10:00:00 AM EDT on June 13, 2025 (“Giveaway Period”).

2. To enter, during the Giveaway Period, (i) follow all of the following accounts on Instagram: @nipsbynippies, @panicpanties, @clutchglue, and @fazits; (ii) take a photo in a CVS store of at least one of the following products: Nips by Nippies, Panic Panties, Clutch Glue, or Fazit Patches, and post that photo on Instagram in your feed or a story (“Submission”); and (iii) tag @nipsbynippies @panicpanties @clutchglue @fazits and use the hashtags #CVSShelfieSquad and #NipsbyNippies_Sweepstakes in the Submission. The Submission shall not include any third-party content or individuals, including but not limited to products other than the aforementioned or other CVS customers. You must have an Instagram account to enter this Giveaway and you must make sure the “Photos Are Private” option in the account settings on your Instagram account are set to “OFF”. By entering you warrant and represent that any third parties tagged or featured in the Submission have given you appropriate consent to be included in the Submission for purposes of this Giveaway. By entering, you further agree that Submissions will not contain any infringing, illegal, indecent, obscene, hateful, tortious, defamatory, slanderous, libelous, or any other inappropriate material. Limit one entry per person/e-mail address. No automated entry devices and/or programs permitted. Entries will not be acknowledged or returned. Proof of submission will not be deemed to be proof of receipt. Entrants fully and unconditionally agree to be bound by these Official Rules and the decisions of Thrasio, LLC, 85 West Street, Floor 3, Walpole, MA 02081 (“Sponsor”) which will be final and binding in all matters relating to the Giveaway.

3. The prize for this Giveaway will include the following: (1) CVS Gift Card: $25; (1) Pair of Nips by Nippies: $19.49; (1) Pair of Panic Panties: $10.29; (1) Clutch Glue: $19.99; (1) pack of Fazit Patches: $14.99; Total Value of all prizes: $89.76.

4. Open only to legal residents of the 50 United States or District of Columbia who are 18 years of age or older. Void elsewhere and where prohibited. Employees, officers and directors of Sponsor, and its parent and affiliate companies, subsidiaries, partners (collectively, the “Released Entities”), and each of their respective immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. You are not authorized to participate in the Giveaway if you are not located within the 50 United States or the District of Columbia.

5. One winner will be selected picked by Sponsor at random to win the prize(s) indicated. Certain conditions and restrictions may apply to prize(s). Prizes are non-transferable and no substitution or cash equivalent is allowed except that Sponsor reserves the right to substitute a prize with one of comparable approximate retail value. Odds of winning a prize depend on the number of entries received. Any expenses that may be associated with receipt or use of prize that are not specifically listed herein are the responsibility of winner(s). All federal, state and local taxes on a prize, as well as any incidental costs that may be associated with the prize, are the sole responsibility of the winner of that prize.

6. Potential winners will be notified by a direct message from Sponsor or @nipsbynippies and/or by Sponsor posting a comment to each potential winner’s Submission on his/her Instagram account. If applicable, winner must provide an accurate postal mailing address so that prize can be mailed to the recipient. Winner may be required to sign and return, where legal, an Affidavit or Declaration of Eligibility and Liability/Publicity Release within ten days of prize notification. If any winner cannot be contacted within five calendar days of first notification attempt, if any prize or prize notification is returned as undeliverable, if any winner fails to return his/her winner documents within the time set forth above or otherwise rejects his/her prize, or in the event of noncompliance with these Official Rules, winner will forfeit such prize and an alternate winner may be selected from all remaining eligible entries, time permitting. Upon prize forfeiture, no compensation will be given. Potential winners must continue to comply with these Official Rules, and winning is contingent upon fulfilling all requirements.

7. Participation in Giveaway and acceptance of prize constitutes winner’s permission to the Sponsor and related entities for the use his/her name, address (city and state), likeness, photograph, picture, portrait, voice, opinions, biographical information and/or any statements made by winner regarding the Giveaway or the prize(s) for advertising and promotional purposes without limitation, in any media, worldwide, without notice or additional compensation or consent, except where prohibited by law.

8. By participating, entrants and winners each agree to release, indemnify and hold harmless the Released Entities and Instagram, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Giveaway, or possession, acceptance and/or use or misuse of prize or participation in any Giveaway-related activity and for any claims based on copyright, trademark, publicity rights, defamation or invasion of privacy and merchandise delivery.

9. In case of dispute as to the identity of any entrant, entry will be declared made by the authorized account holder of the e-mail address submitted at time of entry. “Authorized Account Holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational, institution, etc.) responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Any potential winner may be requested to provide proof that such winner is the authorized account holder of the e-mail address associated with the winning entry. The Released Entities nor Instagram are not responsible for technical, hardware, software, network or other communications malfunctions, errors or failures of any kind, lost, interrupted or unavailable network connections, Website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one’s ability to enter the Giveaway. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Giveaway should (in its sole discretion) virus, bugs, non-authorized human intervention, epidemics, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Giveaway. In such case, winner(s) will be selected from all eligible participants prior to and/or after (if appropriate) the action taken. Entrants who do not comply with these Official Rules or attempt to interfere with this Giveaway in any way shall be disqualified. Released Entities nor Instagram are responsible for any typographical, display, input, or other error in any Giveaway materials, or for any errors or problems which may occur in connection with the administration of the Giveaway, the processing of entries, or in the announcement of prizes, including such error that may give an erroneous indication that a prize has been won. In no event will a greater number of prizes than stated in these Official Rules be awarded.

10. Sponsor will be collecting personal data about entrants online, in accordance with its privacy policy. Please review Sponsor’s privacy policy at https://www.thrasio.com/privacy-policy. By participating in the Giveaway, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s privacy policy.

11. IN NO EVENT WILL THE RELEASED ENTITIES NOR INSTAGRAM BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH OR YOUR PARTICIPATION IN THIS GIVEAWAY OR POSSESSION, ACCEPTANCE, AND/OR USE/MISUSE OF ANY PRIZE THE GIVEAWAY. WITHOUT LIMITING THE FOREGOING, THIS GIVEAWAY AND ALL PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. THIS GIVEAWAY IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH, INSTAGRAM. YOU ARE PROVIDING YOUR INFORMATION TO SPONSOR AND NOT TO INSTAGRAM.

12. THE PARTIES WAIVE ALL RIGHTS TO TRIAL IN ANY ACTION OR PROCEEDING INSTITUTED IN CONNECTION WITH THESE OFFICIAL RULES, INCLUDING, WITHOUT LIMITATION, THE GIVEAWAY. ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE OFFICIAL RULES AND/OR THE GIVEAWAY SHALL BE SETTLED BY BINDING ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION. ANY SUCH CONTROVERSY OR CLAIM SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS, AND SHALL NOT BE CONSOLIDATED IN ANY ARBITRATION WITH ANY CLAIM OR CONTROVERSY OF ANY OTHER PARTY. THE ARBITRATION SHALL BE CONDUCTED IN THE STATE OF NEW YORK, CITY OF NEW YORK. THESE OFFICIAL RULES AND THE INTERPRETATION OF ITS TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO ITS CONFLICTS OF LAWS RULES.
